Executives

AMAPCEO has three principal governing bodies to which members elect representatives:  the Board of Directors, the Provincial Council and an Annual Delegates' Conference (or ADC).    

The Annual Delegates' Conference, which meets once each year in December, consists of approximately 140 Delegates:  the nine members of the Board of Directors, the 23 Chapter Chairs and over 100 other Delegates elected from Chapters on the basis of one Delegate for every fifty AMAPCEO members.  The ADC is responsible for electing the Board of Directors, approving the annual budget, authorizing the level of membership dues, accepting audited financial statements, appointing external auditors, adopting constitutional and by-law amendments and voting on collective bargaining priorities.  

The Provincial Council, which acts on behalf of the ADC between meetings of the Delegates, consists of the nine members of the Board and the 23 Chapter Chairs.  The council meets six times each year.  The Board of Directors, which is responsible for the management of the Association, consists of nine members elected by the ADC:  five Directors at large and four executive officers (President, Vice-President, Secretary and Treasurer).  The Board typically meets monthly.  Please click here for more information on AMAPCEO’s governance structure, including the specific responsibilities of the Board, Council and ADC. 

The four executive officers (President, Vice-President, Secretary, Treasurer) constitute the Executive Committee of the Board.  The Executive Committee, which meets once or twice each month, is responsible for the day-to-day management of the Association’s office in accordance with policies and practices approved by the Board or the Delegates.  The committee also functions as the Board’s personnel committee.  

The President is the chief executive officer of the Association, responsible for carrying out the Association’s mission.  A member of the Board, Provincial Council and Annual Delegates’ Conference, the President chairs the Executive Committee, prepares the agenda for meetings of the Executive and Board and is responsible for ensuring that all policies and actions approved by the ADC, Council and Board are properly implemented.  The President is on a full-time leave, working in the AMAPCEO office, while serving as President.

The Vice-President is a member of the Executive, Board, Council and ADC; shares some of the leadership responsibilities of the President; fulfills the duties of the President when that officer is temporarily absent or unable to perform the duties of the office; and assumes other responsibilities as agreed by the Board of Directors.     

The Secretary, a member of the Executive, Board, Council and ADC, functions as the corporate secretary of the Association, is responsible for ensuring proper notice is given of and minutes recorded for meetings of AMAPCEO's central governing bodies and oversees the registry of members.

The Treasurer, a member of the Executive, Board, Council and ADC, is chief financial officer of the Association, responsible for care and custody of AMAPCEO funds and assets, as well as for maintaining accurate records of the accounts and financial transactions. The Treasurer is responsible for drafting the annual budget, sits on the Board’s Finance Committee and is an advisor to the Audit Committee.
